CONSTITUTION OF THE VOUGHT BASS CLUB

ARTICLE I

Club Name

Section 1.

The organization shall be known as the Vought Bass Club.

ARTICLE II

Club Objectives

1.The objectives of this non-profit club are:

A. To maintain a high standard of true sportsmanship, promote water safety, ecology, and social relationship.

B. To promote more successful fishing by providing information through, and exchange of, ideas and methods.

C. From time to time to sponsor fishing tournaments for the purpose of stimulating interest and to promote healthy competition between club members and between this club and other clubs of a like nature.

ARTICLE III

Membership

Section 1.

A. Associate membership is open to the public.

B. An associate member may vote and hold office.

C. Associate membership shall be approved by the Board of Directors.

Section 2.

The immediate family of each paid member has the full privileges of a paid membership.

Section 3.

The Board of Directors of the Club may issue honorary memberships to those persons deemed deserving, such as retired personnel.

 

 

Section 4.

A member will retain this membership until and unless, for just cause, he is deprived of it by action of the Board of Directors. The appeal shall be voted on by secret ballot with a majority defeating the appeal.

ARTICLE IV

Officers

Section 1

The officers of the Club shall consist of:

President
Vice President
Secretary
Treasurer
Sergeant-at-Arms
Awards Chairman
Program Chairman
Tournament Director
Assistant Tournament Director

 Section 2

A. Each year officers will be elected for a term of one year. The officers shall be elected by majority ballot of the members in good standing who are present at the regular election meeting.

B. The Board of Directors shall be the Club officers including the past president.

C. If no candidate for an office receives a majority, the two (2) candidates with the largest number of votes will be in a run-off. A majority ballot by a QUORUM, AS DEFINED BY Roberts Rules of Order, is 50% plus one (1).

 

Section 3.

When one or more vacancies occur in elective offices, the vacancy or vacancies shall be filled for the unexpired term by a majority vote of the Board of Directors.

Section 4.

Officers shall be installed at the regular January Club meeting each year.

The immediate past president shall preside at annual awards banquet if one is held.

 

ARTICLE V

Duties of Officers

Section 1.

The management of the Club is vested in the Board of Directors. During the time the Club is not in session, the Board of Directors shall have and exercise powers granted to the Club by the constitution and by-laws except that it shall have no power to alter, rescind, or nullify any part or provision of such constitution or by-laws. The Board of Directors shall have the power to impeach any elected officer of his duties for just cause. Such impeached officer shall have the right to appeal.

Section 2.

The President shall preside at all meetings, appoint committees, and be an ex-officio member of all committees, except the nominating committee, or as otherwise provided in this constitution.

Section 3.

The Vice-President shall assimilate the information gained by all committees and make detailed reports with reference as to their findings. In the absence of the President, the Vice-President assumes the duties of President.

Section 4.

In the absence of both the President and Vice-President, a chairman shall be elected by the members of the Board of Directors present to assume the duties of President.

Section 5.

The Secretary shall keep complete minutes of all club meetings, including Board of Directors meetings and record in an adequate secretarial book, and handle all correspondence of the Club.

 

 

Section 6.

The Treasurer will set up a satisfactory system in the collection of dues, monetary deposits, and payment of all authorized bills of the Vought Bass Club. The Treasurer will render quarterly reports to the Club. The books of the Treasurer shall be audited annually by a committee of three (3) appointed by the incoming President at the first quarter meeting.

Section 7.

The Sergeant-at-Arms shall maintain a roster of all members and guests present at each meeting, assist in any way he/she may be needed at all meetings of the Club, and return order to the meeting when needed.

Section 8.

The Awards Chairman purchases door prizes for quarterly meetings and trophies for the annual awards. He also conducts raffles at monthly meetings.

Section 9.

The Program Chairman arranges for guest speakers at quarterly meetings.

Section 10.

The Tournament Directors conduct lake selections at monthly tournaments and conduct monthly tournaments.

Section 11.

The Assistant Tournament Directors assist the Tournament Directors in their functions and act as Tournament Director in their absence.

Section 12.

The Webmaster will update and maintain the club website (www.voughtbass.com) with all current club information, such as the Home page, Bylaws, Officers, Calendar of Events, Photos, Sponsors, Tournament Information, Monthly Newsletter, Membership Form, Links, Etc. and  any Special Projects.  (1-22-05)

Section 13.

Any elected officer that is absent from three (3) consecutive or a total of four Club meetings in any one calendar year is automatically relieved of this duties.

 

 

ARTICLE VI

Dues

Section 1.

Annual dues shall be $14.00 for memberships and $18.00 for new members and will be prorated at $1.50 per month for new members only. .

Section 2.

No membership dues shall be assessed against honorary members.

 

ARTICLE VII

Meetings

Section 1.

Business meetings of the Club will be held quarterly, the date is to be decided by the President and communicated through the newsletter.

Section 2.

Special meetings of the Club may be called by the President or upon written request of ten (10) members of good standing. Such written request shall state the purpose of such special meetings.

Section 3.

The members present at any Club meeting shall constitute a quorum.

Section 4.

A majority of members of the Board of Directors shall constitute a quorum and its meeting shall be as frequent as necessary to properly conduct the affairs of the Club.

Section 5.

The annual election of officers shall be held at the regular business meeting in the fourth quarter of each year.

Section 6.

The Board of Directors shall arrange a place for each meeting and advise all Club members in the monthly bulletin which shall be mailed to the members at least three (3) days prior to the meeting.

 

ARTICLE VIII

Order of Business

Section 1.

So far as they are not inconsistent with this constitution, Roberts Rules of Order shall be the standard of parliamentary practices.

ARTICLE IX

Amendment or Repeal

Section 1.

A proposal to amend or repeal this constitution shall be considered by the Club members only after said amendment or repeal has been approved by the Board of Directors and after having been read at a regular meeting. Such proposed amendment or repeal may be voted on at the next regular meeting or at a special meeting called for the purpose of changing the constitution and by-laws. All actions of these meetings shall be final and the amendments or repeal shall become effective immediately after being passed on by two-thirds (2/3) of the members present.

ARTICLE

Club Dissolution

Section 1.

The Vought Bass Club may be dissolved and its activities discontinued upon a vote of 75% of the active members of the Club at a meeting specially called for such purpose. Such meeting may be called either by the Board of Directors or its own motion or upon the petition of 25% of the active members in good standing, such petition to be submitted to the Board of Directors to act upon.

Section 2.

Upon dissolution of the Vought Bass Club and the discontinuance of its activities, it shall be the responsibility of the Board of Directors to liquidate the assets of the organization and to discharge all existing indebtedness as soon as practicable. The liquidated assets of the organization after the payment of all indebtedness shall be donated to the Vought Employees Club for their Christmas Party.

ARTICLE XI

Effective Date

This constitution adopted on the 31st day of August 1972.

 

BY-LAWS

 

Rule 1

Annual dues are $14.00 for old members and $18.00 for new members. New member’s annual fee may be prorated.

Rule 2

A member will not allow friends or acquaintances to use his or her membership card at any time.

Rule 3

A copy of each amendment to the Constitution and By-Laws, when adopted, shall be delivered to each member by the Secretary.

Rule 4

Proxies of members shall not be valid for voting in elections nor in the adopting of any resolutions or measures.

Rule 5

Nominations for officers of the Club shall be conducted at the regular meeting in the third quarter. Any member of the Club shall be privileged to make nominations from the floor at the third quarter meeting for any office in the Club, first having secured the consent of his nominee to serve if elected.

Rule 6

Election of officers shall be conducted at the regular fourth quarter meeting. Each member in good standing will be required to furnish adequate identification before receiving his ballot to vote.

Rule 7

Installations of officers shall be conducted at the regular first quarter meeting.

Rule 8

Each member is charged with the responsibility of conducting himself in such a manner that the reputation, interest, and good standing of the Club is maintained.
